As a transactional attorney with nearly two decades of providing legal services to public and private companies, Tracy’s specialties are commercial agreements, technology licensing, M&A support, business formation, compliance and corporate governance. Tracy recently served as senior director, legal counsel and secretary for i365 Inc., a subsidiary of Seagate Technology, offering data backup/retention, data recovery/protection and e-discovery software, and SaaS services in the US and Europe.
Earlier in her career as senior corporate counsel for Gap, Inc. she found that an understanding of bricks and mortar helped maximize the company’s presence and use of the Internet. In today’s market, she says it is hard to base a business on direct sales only and that partnering with resellers requires establishing clear guidelines that are flexible but consistent to maximize sales.
Tracy finds understanding a client’s business approach is essential when developing internal policies and procedures regarding domestic and international sales, intellectual property, employment law, mergers and acquisitions, antitrust and financing matters, and investor relations. She also helps clients understand the issues involved with SaaS and cloud computing, including internal and external privacy policies, subscriptions, channel sales and direct sales. She makes sure her clients have access to the legal knowledge they need to make sound business decisions and understand the regulatory climate in which the boundaries are constantly changing.
Tracy was fascinated by economics as an undergrad at the University of Virginia. After earning her JD at the University of Texas, she returned to her first love, business, and obtained her MBA from UCLA’s Anderson School of Management while serving as an executive and senior counsel in the financial services industry.
